PeopleAreKey, Inc. seeks qualified paralegal professionals on behalf of a
pharmaceutical company in Northeastern NJ, for a long-term contracting
assignment (12+ months, with possibility of extension to up to 3 years
duration.)
 
Primary Qualifications:
 
·         3+ years' experience at a law firm and/or in-house legal department.
·         Bachelor's Degree and/or paralegal certification.
·         Experience with a pharmaceutical company client or employer is preferred.
·         Experience working with registered agents,  and maintenance of manufacturer state licensing requirements.
·         Ability to work as an integral part of the team to support various business groups in the company.
·         Excellent communication and organizational skills and able to independently prioritize and manage multiple projects.
·         Proficient working knowledge of Microsoft Office (e.g., Word, Excel, PowerPoint), and LotusNotes.

Primary Duties:
 
Assist Corporate and Business Affairs attorneys with the following:
·         Preparation for Board of Directors meetings.
·         Creating and/or maintaining corporate minute books for U.S. affiliate and
international subsidiaries of a U.S. company, such as drafting corporate shareholder/board of director resolutions, secretary certificates
certificates of authorizations, legalizing/apostille documents for use
in foreign countries.
·         Business transactions such as licensing, manufacturing and mergers and
acquisitions in connection with closings; preparing/maintaining closing
checklists; obtaining signature pages; drafting and obtaining consents
and notices in connection with the transactions; obtaining certificates
of good standings, etc.; drafting correspondence and simple agreements
based on pre-approved templates, such as confidentiality agreements,
documenting intercompany transactions.
