IMPORTANT NOTICE ABOUT PARKING
The rapidly increasing number of WNO meeting attendees has resulted in our overtaking the Croton-on-Hudson Library parking spaces. Moving forward, the library has been kind enough to allocate us 30 spaces. After those spaces are taken, WNO meeting attendees can park at alternative locations:
- On-street parking in front of the library, around the cemetery or by the high school
- Municipal parking lots (about a 10-minute walk from the library). Municipal parking is free. ** If you are willing to provide shuttle service between the parking lots and the library, please advise ASAP by emailing wno1635@google.com **
- EVEN BETTER ... if you know others who live near you and are attending the meeting, please arrange to carpool.
Rob Zanfardino (or another WNO committee member) will be at the entrance of the library driveway directing WNO traffic. A map showing the alternative locations will be available.

Firm:
Our client is a newly organized closed-end, non-diversified management investment company that has filed an election to be treated as a business development company under the Investment Company Act of 1940. The firm's investment objective is to generate both current returns and long-term capital gains while emphasizing capital preservation. Our client intends to invest in leveraged companies in the form of senior and junior secured loans, subordinated loans, bonds, mezzanine loans and other investments in such companies, including direct equity investments.
Position:
Our client is seeking a qualified professional to act as Controller of the firm; the position has the opportunity to become the Chief Financial Officer of the firm within one year. The primary responsibilities of the Controller position include:
* Responsible for all financial functions of the firm, which is a newly-formed, publicly traded business development company ("BDC").
* Responsible for determination of monthly/quarterly NAV, management fees, expense payments/allocation s and accrued incentive allocation.
* Main responsibility for the valuation, trade settlement and collateral management functions.
* Maintain policies and procedures and system of internal control. Spearhead the 2010 Section 404 attestation with assistance from outsourced internal audit firm.
* Serve as main point of contact with respect to communication of financial information to investors and analysts.
* Oversee accounting for the credit instruments invested in by the BDC (interest calculations, premium/discount amortization/ accretion, non-accrual status determinations, etc.).
* Responsible for calculations of quarterly dividends to be paid (at least 90% of taxable income).
* Oversee 1940 Act compliance for this registered investment company and related calculations (e.g., diversification tests).
* Coordinate with the BDC's Chief Risk and Chief Compliance Officers in the performance of the risk management and compliance functions.
* Oversee the production of investment portfolio metrics to be used for investor relations, portfolio management and risk management, etc.
* Oversee drafting of quarterly and annual financial statements of the firm accordance with SEC requirements.
* Serve as principal liaison with the trustee/custodian, auditor and tax accountants as well as the operations staffs of broker/dealers and derivative counterparties.
* Oversee custody/investment of portfolio cash and securities and related internal controls.
* Assist in the financial aspects of the loan origination efforts of the BDC.
Requirements:
The ideal candidate will have prior experience with:
* the operations of a Business Development Company.
* financial reporting requirements of a public company.
* implementation of the compliance requirements of Sarbanes Oxley.
* accounting for credit instruments.

Again strong academic background and performance is required with 2-5 years of business experience. Based in Gaithersburg, MD
Our client is the Humane Society of the United States, the world's largest advocacy organization focused upon animal welfare and protection. They have engaged us to find a Controller to head their Accounting Division. This position reports directly to the Chief Financial Officer.
Position Overview
To maintain control of all company assets, ensuring accuracy and completeness of financial records. This executive position provides an experienced and talented financial professional the opportunity to have a meaningful impact on the success of this organization.
Key Responsibilities
o Manage and direct all accounting functions (including annual audit and payroll) of HSUS and its affiliate organizations, including the international entities.
o Prepare and/or review all compliance filings including tax returns, state charitable solicitation registrations, business licenses, etc.
o Prepare and maintain a $140 million annual budget.
o Prepare and distribute all monthly and annual financial statements for HSUS' multiple funds.
o Establish and maintain all banking relationships.
o Monitor and manipulate cash flow to ensure coverage for $140 million annual expenditures.
o Devise and implement internal controls.
o Manage accounting of federal grants.
Qualifications
o CPA designation.
o Bachelors Degree in Business Administration or Accounting.
o Minimum of 5 years of "hands on" experience in financial / accounting management. Accounting experience within a non profit organization is desirable.
o Effective written and verbal communication skills.
o Strong leadership and management skills.
o Proficiency with Microsoft Word, Excel, and computerized accounting software.
