Nephros has broad expertise in filtration technologies with applications in medical therapies and industrial fluid purification. The company currently markets ultrafilters to institutional facilities for infection control and has FDA approval for purification of fluids for dialysis applications. The company has CE Mark clearance in the European Union and Canada for its mid-dilution hemodiafiltration product, and has licensed this product to Bellco S.r.l. for these territories. Nephros is seeking approval of its hemodiafiltration system in the U.S. as a treatment for end-stage renal disease and anticipates filing for FDA approval in 2011. Nephros has contracted with the Office of Naval Research to develop an advanced water purification system for military field use and has received approximately $3 million of appropriations to date to fund the project. Nephros has a joint collaboration project for a filtration application funded by STERIS Corp.

POSITION SUMMARY:

• The Chief Executive Officer of Nephros will lead the Company through the next phase of its growth. Reporting to the Board of Directors, the CEO will provide the overall management vision, leadership and direction essential for key managers and other employees to sustain the company's business plan and attainment of objectives. The CEO will assure that the desired financial performance is achieved or exceeded without high-risk tactics or actions, and within the framework of the Company's goals and plans.

• Given the Company's focus on growth, the CEO will be responsible for developing and executing fundamentals as well as sophisticated business strategies to achieve this goal.

• In a proactive, entrepreneurial fashion, the CEO will look for additional opportunities to expand the distribution of existing products as well as expand the breadth of products, aggressively seeking means to expand the customer base, as well as the Company's marketing and sales programs in order to both distinguish Nephros from its competitors and increase profitability and ROI.

• The CEO is expected to lead a targeted and continued marketing program, achieving milestones necessary for the company to continue to grow.

• Develop a strategic plan to advance company's mission and objectives and to promote revenue, growth, and profitability as an organization.

• The CEO will raise funds through outside investors and JVs.

• The CEO will serve as the ambassador for the organization, working effectively with all constituencies, including the Board, Key investors, and Wall Street in order to assure that the Company's performance and strategic direction are easily and widely understood, thereby enhancing investor return.

SCOPE AND RESPONSIBILITIES:

• Create a vision and business strategy that can be operationalized, delegating to others as appropriate and required, and establishing benchmarks of performance. Develop corporate objectives, goals and milestones.

• Lead the development of long-term and short-term strategic business plans, financial goals and performance projections, as well as an operating plan and an annual operating budget.

• Guide and direct corporate management in initiatives designed to rationalize business operations and improve effectiveness, service levels, efficiency, and profitability.

• Work with others in the Company to foster a "team" ethic and enhance employee morale.

• Lead by example, and motivate others to do the same. Focus on sales and marketing and business development as a way to accelerate growth.

• Ensure that all activities of the Company are accomplished in an ethical manner.

• Serve as the key communicator, both within and outside of the Company. Conduct regular management meetings and keep employees informed of significant events and decisions.

EXPERIENCE REQUIRED:

• 10 years of executive/operations P&L experience managing multiple operating functions, including marketing, sales, finance, human resources, customer service, supply chain, regulatory and R&D. Proven track record as CEO, COO, President or VP Operations.

• Demonstrated skills, as a CEO, in growing a global business/company with multiple product lines and expanding them into new markets. Has led and is able to lead, new product introduction and category expansion.

• Prior experience in marketing to hospital and medical channels is a must.

• Experience in the industrial filtration space would also be valuable and desired.

• Leading an organization through growth/transitions without losing momentum or focus on the key business drivers and issues.

• Successfully growing a business; it is critical to be truly entrepreneurial and "hands on." A background that includes only large company experience will not be appropriate; a "big company" mentality and attitude will not succeed in this environment. However, the successful candidate will have had experience in leading organizations where best practices were in use and in bringing these practices to smaller, entrepreneurial environments.

• Success in growing a start-up is a must and Clinical Product/Service Rollout Experience preferred.
• Significant fund raising experience including negotiating funding term sheets, strategic partnerships, and licensing deals. Possesses a thorough understanding of venture capital and investment funding and other private and government small business loan and capital opportunities.
• Solid understanding of the clinical regulatory environment
• Public company experience and solid understanding of securities regulations
• Created demonstrable equity value.
• Demonstrated abilities in the following areas: strategic planning, revenue growth, continuous quality improvement, customer service, human resources and cost containment. Enhancing the skill sets of the management team working with the CEO will be a natural concomitant of the strategic planning and program development initiatives.

Nephros Provides Corporate Update

RIVER EDGE, NJ – July __, 2011 - Nephros, Inc. (OTC Bulletin Board: NEPH), a medical device company developing and marketing filtration products for therapeutic applications, infection control, and water purification, today provided an update on its operations and strategy.

"Nephros has undergone significant changes in its operational activities this year. The company is providing shareholders with an overview of these changes and the company's ongoing strategy," said Dr. Paul Mieyal, acting CEO of Nephros.

Recent Highlights

• Completed $3,200,000 million Rights Offering

Hemodiafiltration System

Nephros anticipates submitting a new 510(k) application to market its leading-edge hemodiafiltration (HDF) system for end-stage renal disease (ESRD) in the U.S. in the third quarter of 2011 which would be subject to the FDA's standard 90-day review period. The application will detail Nephros's OLpur MD220 diafilter and Nephros's OLpur H2H Hemodiafiltration module. Nephros's OLpur MD220 is a dialyzer designed expressly for HDF therapy that employs Nephros's proprietary Mid-Dilution diafiltration technology. Nephros's OLpur H2H Hemodiafiltration module enables the most common types of standard dialysis machines to perform HDF therapy. Nephros believes that, if approved, its technology would be the first approved on-line HDF therapy available in the U.S.

"Physician interest in Nephros ESRD products continues to be strong; I look forward to the new 510(k) submission for FDA approval of Nephros's products as a significant step toward bringing this important HDF therapy to the U.S.," said Dr. Leonard Stern, Medical Director for Home Therapies at Columbia University Dialysis Center and clinical advisor to Nephros.

Ultrafiltration Products

The Association for the Advancement of Medical Instruments' (AAMI) adoption of more stringent water purity standards for dialysis applications as well as observational studies showing a significant reduction in required erythropoietin dosing when the Nephros DSU is utilized during dialysis therapy has significantly increased interest in Nephros ultrafiltration products. In addition to the DSU, Nephros recently announced 510(k) clearance for its SSU and MSU filters to enable these additional ultrafiltration products to be used in dialysis applications.

Nephros has introduced product line extensions for the hospital infection control market which include a more durable filter design to withstand the higher pressures of hospital plumbing, filter covers to improve the aesthetics of the filters in hospital showers, and the SafeSpout as a convenient endpoint filter to address acute outbreak scenarios. Nephros is investigating a range of additional commercial, industrial, and military opportunities for its DSU technology.

Military

Nephros has contracted with the Office of Naval Research to develop an advanced water purification system for military field use. Nephros's proprietary dual stage cold sterilization ultrafilter will form the basis of the portable system. For 2011, Nephros has generated approximately $249,000 of revenue through June 30 from its U.S. Defense Department project.
In response to a Request For Information (RFI) from the U.S. Army, Nephros submitted its UF-40 ultrafilter for consideration as part of the standard issue hydration pack for soldiers in the field. Nephros has been informed by the U.S. Army Public Health Command that its UF-40 filter has been validated to meet the military's NSF P248 standard for emergency military operations as a microbiological water purifier. Nephros believes that its UF-40 filter is the only stand-alone filter to date to have met the performance criteria of the NSF P248 standard without secondary disinfection steps. The Army has not to date issued a Request For Proposal (RFP), and Nephros has no information regarding when or if an RFP applicable to the UF-40 ultrafilter may be put forth by the U.S. Army.

Business Development

As previously announced, Nephros licensed its mid-dilution technology to Bellco S.r.l. in exchange for upfront cash payments and royalties on future sales of MD190 and MD220 dialysis filters in Canada and certain European countries. For the second half of 2011 and for the remainder of the license period, Nephros will not report unit sales of MD filters from the licensed territories. Cash payments from the Bellco license will be recognized as revenue on an amortized basis over the period of the license.

During 2010, Nephros completed the initial milestone under the joint collaboration agreement with STERIS Corporation and expects to complete the final milestones under the agreement by the end of the third quarter of 2011. The remaining milestones, if met, would result in aggregate payments to Nephros of $60,000.

Executive Recruitment

Nephros has engaged DHR International to recruit a full-time Chief Executive Officer. DHR is the fifth largest search firm in the United States and the sixth largest globally. The terms of the engagement are reported separately on Form 8-K.
